GCI Completes Issuance of $325 million of New Senior Notes due 2021
Anchorage, Alaska, May 20 - General Communication, Inc. (Nasdaq: GNCMA) announced today the completion of the previously announced offering of $325 million in aggregate principal amount of new 6 ¾ % Senior Notes due 2021 at an issue price of 100% (the “2021 Notes”) issued by its wholly-owned subsidiary, GCI, Inc. The net proceeds of the offering will be used to retire GCI, Inc.’s outstanding senior unsecured notes due in 2014.
The 2021 Notes were offered only to qualified institutional buyers in reliance on Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”), and to persons outside the United States in accordance with Regulation S under the Securities Act. The 2021 Notes have not been registered under the Securities Act or the securities laws of any other jurisdiction and may not be offered or sold in the United States absent registration or an applicable exemption from registration requirements.
