(1) Pro rata distribution to Reporting Person's limited partners and to Diamond Ventures LLC, as the general partner of the Reporting Person, for no consideration.
 
Remarks:
The general partner of the Reporting Person is Diamond Ventures, LLC ("Diamond").  Because the president of Diamond, William Glasgow, serves as a director of the Issuer, the Reporting Person may be deemed a director of the Issuer.  The Reporting Person does not admit that it or Diamond, in its capacity as general partner, has deputized any person to serve as a director on the Board of Directors of the Issuer, and nothing herein shall be deemed an admission of such deputization.
