(2) All shares of Class A Common Stock ("Common Stock") and Series B Convertible Redeemable Accreting Preferred Stock ("Preferred Stock"), and all stock options are directly owned by Toronto Dominion Investments, Inc. ("TD"). The Reporting Person is a vice president of TD and president and a director of Toronto Dominion Capital (U.S.A.), Inc. ("TDCI"), an affiliate of TD and may be deemed to indirectly beneficially own all of such shares of Common Stock and Preferred Stock and such stock options directly beneficially owned by TD. The Reporting Person disclaims beneficial ownership of such shares of Common Stock and Preferred Stock, and such stock options directly beneficially owned by TD except for any pecuniary interest he possesses by virtue of his officer position at TDCI.
